Phillip W. Preis

Phillip W. Preis (“Phil”) offers 30 plus years of Business Litigation experience uniquely coupled with an expertise of corporate transactions including mergers and acquisitions, Corporate Finance, Venture Capital, and Investment Acquisitions. While living in Washington, D.C., Phil served as former Staff Counsel to the U.S. Treasury Department, Office of Comptroller of Currency. After returning to Louisiana, Phil worked as National Counsel for a major insurance company and settled multiple Bank Director and Officer’s liability claims made by the FDIC. Appearing in Federal and State courts on a trial and appellate level, Phil is experienced in business tort litigation, business formation and acquisitions, valuation of businesses. Phil has a full understanding and substantial experience in business “divorces”, federal and state securities litigation, relationships between lenders and borrowers, banking law, federal and state taxation, corporation and partnership law, trade secrets, non-competition provisions, and estate planning. Phil is a litigator with an innovative vision whose corporate expertise derived from diverse business situations over the past 34 years.

Client Matters

Mr. Preis regularly represents insurers, insureds and plaintiffs against insurers on coverage issues on business insurance policies.

Mr. Preis, over the past ten years, has spent a substantial amount of time preparing and trying complex commercial cases in jury trials, and subsequently appealing these issues to the state and federal appellate courts.>

Mr. Preis specializes in the preparation of partnership agreements, limited liability operating agreements, stock purchase and asset purchase agreements and corporate shareholder agreements and has extensive knowledge of the types of provisions in these agreements.

Mr. Preis has been very successful in the area of corporate acquisitions and corporate finance. He served as counsel to the Shaw Group Inc. during its initial startup in 1986. In December 1993, Smith Barney took the company public. The Shaw Group Inc. is currently traded on the NYSE under the call letters “SGR” and is a Fortune 500 company.

Mr. Preis has regularly represented plaintiffs in business litigation matters, small businesses in their formation and operation and has provided business and legal advice, as well as income and estate planning.
